Principles of Solidarity ////Working Draft

Through a direct democratic process… we have come together as individuals and crafted these principles of solidarity, which are points of unity that include but are not limited to:  Engaging in direct and transparent participatory democracy; Exercising personal and collective responsibility; Recognizing individuals’ inherent privilege and the influence it has on all interactions; Empowering one another against all forms of oppression; Redefining how labor is valued; The sanctity of individual privacy; The belief that education is human right; and Endeavoring to practice and support wide application of open source. We are daring to imagine a new socio-political and economic alternative that offers greater possibility of equality. We are consolidating the other proposed principles of solidarity, after which demands will follow.

Committee Proposals

8:45 pm, Jeremy and Laura:  [HE READS] What… How… Why…

                Questions on the Proposal

8:51 pm, Barry:  One cannot come to a conclusion… my amendment is…

Lance:  amendments will be during the round of Amendments… not now.

Jeremy:  [RAMBLES KNOWLEDGABLY ON THE FINER POINTS OF THE ROUGH CONSENSUS PROPOSAL].

Jeff:  Did you speak with Patrick about this? […]

            Jeremy:  Yes.

Scott:  If something procedural comes up to the GA and do we need an administerial thing?

                Concerns on the Proposal

            [NONE]

                Friendly Amendments

If you have a friendly amendment, could you at least try it for a week [EXPERIMENTAL PHASE].

[BACK TO]  Concerns on the Proposal

Can we add that people should be present? And, can we announce a convention?

Jeremy:  We’ve considered [your previous] proposal of 51%.

[HARD BLOCKED] The journey of the minority is… of the majority.

Would you be okay with us trying it for a week?

                Yes.

Jeremy:  [Considers] presenting a ‘Tyranny of the Majority’ versus a ‘Tyranny of the Minority’.

                HardBlocker:  [SPEAKS]

                Concerns

Maybe we should vote constantly or consistently. We should make sure all our information is disseminated so we all know what’s up.

What I see is that it is the 1% that hijacks the proposal.

Jeremy:  Our concern was to clarify the process and to make sure that no voice was [ever] left out. We found that when people don’t do their due diligence around the power of clarity surrounding their proposals it is very difficult to reach a consensus. A 90%... …general consent of the model… …Remember that Rosa Parks was only the one percent on the bus.

Daniil:  I believe that ninety-nine percent is much more fair and empowering than ninety percent.

I think the ninety-percent rule… …creates factions of people.

Jeremy:  We’re always going to have factions…

9:19 pm:  Lance:  …amendment is… …practicing the process with the amendment… …for one week.

9:21 pm:  Regina:  [YELLS] I have a hard block. …

9:22 pm:  Mike:  I have concerns about… this very important issue… 95%.

9:23 pm:

9:23 pm, Lance: Do we want to keep going on this issue?

[CONSENSUS WAS REACHED ON THIS PROPOSAL WITH FRIENDLY AMENDMENTS].

Affinity Group Proposals

I suggest we… …filter… for… is this historical, creative, or …

Regina:  How are we going to filter? Who is going to do the filtering?

[THIS WAS DEEMED ‘NOT’ A PROPOSAL, BUT A SUGGESTION]

We started Occupy Southgate four days ago. We were on the news… …but today the police came and asks us to leave… he gave me a ticket. Tomorrow we’re having a meeting at 8550 California Avenue, Manchester Blvd and California Avenue.

9:32 pm, Barry:  Proposal to allocate five to ten minutes time for a meeting on Wednesday. [CONSENSUS WAS REACHED].

9:33 pm, , : Throughout the twenty days that we’ve been here we’ve been dancing around the worker’s issues…

9:34 pm,   :  We need to consider what Barry was saying… [HE ASKS BARRY AND HANDS BARRY THE MICROPHONE].

[HECKLER CONTINUES TO YELL “WE NEVER DO ANYTHING BUT WASTE EVERYBODY’S TIME].

9:41 pm, Max:  Teacher of Economics Class at Finance Tent:  I’m proposing that we ask people for a solutions committee …a broad base of an idea … giving people thirty seconds to advance an idea and have people advancing the idea by working on the idea.

9:44 pm:  We are one big solutions Committee. …know we have a research committee…

9:46 pm:   What [this is an ‘Affinity Group’ and not a ‘Committee’].

[HECKLER YELLS, “FINALLY SOMEONE THAT HAS A GOOD IDEA AND NOBODY WANTS TO LISTEN TO HIM].

Committee Proposals

9:40 pm, Julia, Committee to End Police Brutality: That Occupy LA retails political Occupy LA will not endorse any candidate that accepts. That we ask that those individuals who work for said parties … refrain from electioneering. We will not be co-opted.

Questions:

9:43 pm, Whether we should support any… …no political support and no parties.

9:47 pm, To change the wording.

This space needs to be for people who are not part of those parties.

I don’t think I will amend it that much.

Mike Check: Do we agree that we take these papers to the Welcome Tent?

                  10:03 pm, Julia, No.

Points of Clarification

This Proposal seems like it is about not getting co-opted by a specific party; which leaves room to be co-opted by others.  [TABLED FOR TUESDAY GA]

Committee Proposals

We should make this space a drug and alcohol free zone.

Points of Clarification / Questions:

There is legal manifestation by the State of California for medical marijuana.

Mike Check: One individual should be in control of the People’s Mic.

I propose a drug and alcohol rehabilitation program.

9:34 pm: We need to put an end to the use of drugs and alcohol because of the danger to our selves, and our movement. …police… …We are all being portrayed as potheads… …Image toward the mainstream media, police and our families; we are all doing hard work here… …[not to undermine our potential for success] here at Occupy LA.

9:38 pm: Medical marijuana is supposed to be smoked in privacy.

9:40 pm: In the State of California, Dennis Perone said, for any… …vaporizing is legal.

9:44 pm: There are [younger] students passing through here… …We need to show we have a respectful, non-violent movement. Check yourselves… …Please smoke and drink [elsewhere].

9:45 pm: A proposal is supposed to have a ‘What?’ and ‘Why?’… …We need to have a ‘How?’

9:46 pm: Those who don’t have a medical marijuana license, and are smoking here must be asked [to smoke in the outskirts].

9:49 pm: [Inaudible]

9:53 pm: We all agree with the ‘spirit’. We want to protect our image.

9:54 pm: [Proposer takes the stand] this is my friendly amendment: That we all don’t walk around with an open container.

[Re-states the proposal] My proposal is that we make Occupy LA [the park around City Hall] drug free, alcohol free, and smoke free; because it jeopardizes our safety and solidarity. There are already two people who don’t feel safe.

Rob, 9:55 pm: This process is difficult.

For the past two weeks I’ve been studying for mid-terms and I do drink, and I do smoke; so, what’s the problem? I will ‘Hard Block’ this to the end.

Rob, 10:00 pm: There will be a discussion on this proposal after the GA behind the monument.

FINANCE COMMITTEE 8:12 PM

A GROUP OF FINANCE COMMITTEE MEMBERS ARE PROPOSING TO FILE ALL THE PAPERWORK FOR ‘OCCUPY LOS ANGELES’ AS A NONPROFIT CORPORATION. THEIR SERVICE WILL INCLUDE PAYING THE FINANCE FEE AND EXPEDITING FEE:

Here is an update on the money raised… So far we have raised $15,000.

Most of the money goes to Sanitation and Waste Services; AND, for tables and tents.

We are not here to be co-opted… keep this movement going… By having this setup we’ll be able to cash checks in the name of “OccupyLA”… We need to file nonprofit status under “Occupy Los Angeles”… We will not be able to accept checks in the name of “Occupy Los Angeles”… This is about equality and fairness. How: File all paperwork… Board meetings and minutes made public and visible at finance tables for all to comment on… Total cost to do this in a 24 hour period is $1255 (Filing fee, Expediting fee) The exact language of… …for the finance committee to organize a Five-O-One-C-four nonprofit in the name “OccupyLA” with the specific purpose of financially supporting and maintaining our movement.

QUESTIONS AND ANSWERS

What are the advantages?

We can be held liable for lawsuits if somebody trips and falls.

[It is a] big difference from [Cooperative] states.

Will the staff be volunteers or […]?

The board of directors will have no power over the direction of this movement.

A Five-O-one-C-four is political… [???]

[That’s] Why are we going for a C-three. (Corrections from the audience)

Any time we want to express political change that’s considered…

So we’re going C-four status so that we’re not doing anything political

What are the downsides?

I feel we won’t be able to engage political parties with C-four in terms of…

This restricts our ability to endorse political organizations.

[We will] meet 3 to 5 and or 6:30.

If this movement ends what happens to the money?

We are required to give it away to other nonprofits that we could vote…

We don’t get to take any of it away…

It goes to a charity/nonprofit to qualify for exemption, net earnings to no individual.

Who has power to… sign and approve checks?

You guys will be [?the one’s?] to approve check signers.

I don’t know how long it took New York to do it but we will [?do it?] in 24 hours.

We are opposed to taking money from a large corporation.

C-four is not tax deductible because of the political action that we… ?

Zero percent of our finance has been completely grass roots up to now.

By turning ourselves into a formal legal entity…

We will be susceptible to legal action against us…

As a grass roots political movement it is true…

By formally organizing the group there is subject to liability…

But we won’t be able to pay for [portable (pottie) [outhouses]…

as a grass roots.

What is the transparency on money spent…?

We have to include all financial statements available at our tent.

We’ll have to adjust the budget from time to time.

Weekly basis online is not the best because it has to be error checked.

How [do we incorporate as a] corporation and not seem too hypocritical? [(Audience cheers]

I don’t see us as a corporation…

We have to build this new world on the back of an old one.

If we do this we have to follow the system…?

It will be financially impossible to stay here if we don’t.

We will be able to grow and stay here if we do.

What freedoms will be taken away and [how will we] be limiting ourselves?

(Steven) “I thought about…. Like Spain… as giant collective… We could…

[V mask, (Anonymous)] “How difficult [would it be] to have it for emergency money transfer?

It would require GA approval.

[V mask, Anonymous)] How long will it take?

There’s no difficulty at all.

What corporate charter structure in terms of the specific text of that structure that requires a process of accountability and what it’s to be spent on in terms of influence peddling from individuals, large [?Conglomerates’], and corporate doners… and those of CIA… because that’s how they work… what is…? Where is it written out? The actual text…?

It is online, in our by-laws, and at the IRS.

How do you protect financial mishandling? And, how to protect private individuals?

We want this for you, it’s in [your] best interests, and we will bring it to the board.

Why are we Incorporating in Delaware?

[Because] it’s cheaper, we are a Califonia company… a California people…

Repeats question: Why Incorporate when LLC will do the same thing?

Forming… ???

Why are we liable if someone slips on the steps? Why ‘fear’, and you are pushing this through? This is a large philosophical issue.

[She answer the question, ends with…] We are squatting. [Cheering]

Roxannen: Why can’t we join with Occupy Wall Street?

By joining with them we have to give money to them. The money should stay here.

The people that are funding this movement…

[?It looks like?] there are [only] four people funding this movement.

Every single dollar that…

Matt: This is the only way that we can continue to provide… We’d be a tax free org…

This is the only way that we can make it your money, our money. It is the only way.

Emily: Since we are already taking in the money and you’re saying that you have a tax liability?

We will not be able to pay for the [portable (pottie) [outhouses].

Why aren’t we a ‘C-three’?

We wanted to not limit what we can do in the future.

A ‘C-four’ limits what we can do politically.

Will there be any legal responsibility of the board to the GA?

We are legally responsible to you guys.

You hold us to what we can do.

The board [meets] in three weeks.

Corporate security…. One obvious question nobody asked “Who are the shareholders?”

C-threes’ are about tax deductions for the wealthy,

MoveOn.org is a political action committee.

We have no shareholders, none, zilch, zero shareholders.

If board can change rules, how can we…?

Board of directors cannot change [the rules] without approval.

Why isn’t there an attorney answering these questions?

This was arrived at over a conference call with them, we came to a unanimous consensus.

It’s only in the spirit of full transparency that we are doing this.

How [do we] elect board members?

In three weeks the GA will vote.

We don’t figure out how to spend money.

Right now any of these people can take the money away and disappear, walk away.

It’s a travesty.

[Another question N/A, missing]

C4 c3

By becoming a corporation is that the first statement we’ll (Occupy Los Angeles) be making?

[Answer N/A, missing]

Why are we in a hurry, can we get a Powerpoint presentation, can you please take time with this?

Wall street has filed as a ‘C-three’… immediately it was on NPR (National Public Radio).

Come to the finance committee.

We have to do something because starting on Monday we have to pay with a check.

[By law only] twenty-five people [can] be on the board of directors.

Pro bono PR [Incoherent]?

It is almost impossible to extricate yourself if you connect with another nonprofit.

That is why we are proposing to do that.

[TIME: 9:27 PM]

[Yelling] This process is ended! We are not gonna!

[More yelling] If we can’t do it through the General Assembly then when can we do it?!

Starting a corporation and creating individual liablility … to be used against us

We may need to back a candidate, we may need to get political, you’ve already limited us to that… [CONTINUES, JEERING, QUESTION N/A, MISSING]?

We are not. … If we…, then we can dissolve the ‘C-four’ at any time.

We should find a way to work for ourselves.

Four people shouldn’t be forced to take the responsibility [?of a tax liability?]

Let’s find a way to do both [CHEERING]

[YELLING] You sound like a politician!

(Answer from within the GA crowd) [YELLING] We all do!

Hi I’m… Can we all relax for a second… Can we all take a deep breathe (Jukebox plays music).

Thanks but… [Jokes]

[Continues] In terms of the things you want to communicate [about] the lawn...

I’ve heard the city estimates the damage to be fifty thousand dollars.
